Terms of Service — RelayBird

These Terms of Service ("Terms") govern your use of the RelayBird webhook-relay service ("Service") provided by Mihaly Szakacs ("RelayBird", "we", "us"). By creating an account or using the Service, you agree to these Terms. If you do not agree, do not use the Service.
1. The Service — what it is and is not
RelayBird receives inbound webhook events at endpoints you create, stores them temporarily, and attempts to deliver them to destination URLs you configure, with retries, signing, filtering, a delivery log, and replay.
RelayBird is a **best-effort notification and relay tool. It is NOT a system of record, a guaranteed message queue, a payment processor, or a source of truth for any transaction.** It must not be used as the sole mechanism for any financially or operationally critical decision (see Sections 6 and 7).
2. Intended for business/professional use
The Service is offered for business, professional, and developer use only, and is not directed to consumers. By using the Service you represent that you are acting for purposes relating to your trade, business, craft, or profession.
3. Accounts and eligibility
You must provide accurate account information and are responsible for all activity under your account, including keeping your API keys, signing secrets, and credentials secure. You must be legally able to enter into these Terms and at least 18 years old. You are responsible for the security of the destination systems you configure.
4. Plans, fees, and billing
The Service offers a Free plan and one or more paid plans (e.g. Pro) with the limits described in the Service (monthly event volume, data retention, number of destinations, routing, failure alerts).
Paid subscriptions are sold and processed by Polar, acting as merchant of record, which handles payment, invoicing, and applicable taxes (including VAT). Fees are billed in advance on a recurring basis and renew automatically until cancelled. You may cancel at any time, effective at the end of the current billing period. Except where required by law, fees are non-refundable, and refunds (if any) follow the payment provider's policies and applicable law.
We may change plan features or pricing with reasonable prior notice; changes do not affect a period already paid for.
5. Acceptable use
You agree not to use the Service to: transmit unlawful, infringing, or harmful content, malware, or spam; violate the rights or privacy of others; send data you are not authorised to process; attempt to breach, overload, probe, or disrupt the Service or its infrastructure; circumvent plan limits, quotas, rate limits, or access controls; or relay traffic to destinations you are not authorised to send to. We may apply rate limits and may suspend or terminate accounts that violate these Terms or threaten the Service.
6. Best-effort delivery — NO delivery guarantee; your duty to reconcile
You acknowledge and agree that:
- Webhook delivery over the internet is inherently unreliable. We do **not
guarantee** that any event will be delivered, delivered on time, delivered only once, or delivered in order. Events may be **lost, delayed, duplicated, reordered, or dropped** for reasons inside or outside our control.
- The Service may experience downtime, maintenance, data loss, or errors, and stored
events are automatically deleted after the retention period for your plan.
- For any important, financial, or irreversible action, you must not rely solely
on a webhook received via RelayBird. You are responsible for implementing idempotency, independent verification of authenticity at your receiving endpoint, and independent reconciliation of your data directly with the originating system (for example, by querying the source provider's API such as Shopify or Stripe).
- You assume all risk arising from missed, delayed, duplicated, or unverified events,
including any financial loss, and you are responsible for designing your systems to tolerate such events.
7. Assumption of risk / no reliance
The Service is provided as a convenience to route notifications. **You bear sole responsibility for the consequences of acting on (or failing to receive) any event.** You agree that RelayBird is not responsible for any loss resulting from your reliance on the Service as a system of record or as a guarantee of delivery.
8. Your data and responsibilities
You retain ownership of the event data you send through the Service. You are responsible for that content and for having all necessary rights, consents, and lawful bases to process and transmit it, including any personal data of your end users. As between the parties, you are the controller of that content and RelayBird is the processor (see the Privacy Policy and any Data Processing Agreement). You grant us the limited rights necessary to store, route, deliver, display, and back up the data to operate the Service. We are not responsible for the content, legality, or accuracy of the data you transmit.
9. Availability, changes, and suspension
We aim to keep the Service available but provide no uptime commitment (no SLA) unless separately agreed in writing, and the Service may be offered on an **as-is, possibly beta** basis. We may modify, limit, suspend, or discontinue all or part of the Service at any time, and may suspend or terminate access for violations of these Terms, non-payment, suspected abuse, or to protect the Service or others.
10. Termination
You may stop using the Service and close your account at any time. On termination, your right to use the Service ends and your data is deleted in accordance with the Privacy Policy. Provisions that by their nature should survive (including Sections 6, 7, 8, 9, 11, 12, 13, 14, and 15) will survive termination.
11. Intellectual property
The Service, including its software, design, and branding, is owned by RelayBird and its licensors. These Terms grant you a limited, non-exclusive, non-transferable, revocable right to use the Service and transfer no ownership to you.
12. Disclaimers
TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICE IS PROVIDED **"AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND**, EXPRESS OR IMPLIED, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ANY WARRANTY OF UNINTERRUPTED, TIMELY, SECURE, ERROR-FREE, OR COMPLETE DELIVERY.
13. Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW:
- RELAYBIRD WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL,
CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY **LOST PROFITS, LOST REVENUE, LOST OR CORRUPTED DATA, BUSINESS INTERRUPTION, OR LOSS ARISING FROM MISSED, DELAYED, DUPLICATED, REORDERED, OR UNDELIVERED EVENTS**, even if advised of the possibility.
- RELAYBIRD'S TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THE SERVICE
WILL NOT EXCEED THE **GREATER OF (a) THE TOTAL FEES YOU PAID TO US FOR THE SERVICE IN THE [3] MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM, OR (b) EUR [50]**.
These limits apply regardless of the legal theory and are a fundamental basis of the bargain (the Service, and especially the Free plan, would not be provided without them).
14. Indemnification
You agree to indemnify, defend, and hold harmless RelayBird from and against any claims, damages, liabilities, and expenses arising out of your content, your use of the Service, your breach of these Terms, or your violation of any law or third-party right, to the extent permitted by applicable law.
15. Governing law and disputes
These Terms are governed by the laws of Hungary, without regard to conflict-of-laws rules. The courts of Budapest, Hungary have exclusive jurisdiction, subject to any mandatory rights you have where you are established.
16. Mandatory law carve-out
Nothing in these Terms excludes or limits liability that cannot be excluded or limited under applicable law — for example, liability for **death or personal injury caused by negligence, for fraud or fraudulent misrepresentation, for gross negligence or wilful misconduct, or any non-waivable statutory rights**. Where any provision is found unenforceable, it will be limited or severed to the minimum extent necessary, and the remaining provisions stay in effect.
17. Changes to these Terms
We may update these Terms from time to time. Material changes will be announced via the Service or by email; continued use after changes take effect constitutes acceptance.
